TERMS AND CONDITIONS OF ENROLLMENT

Effective Date: February 18, 2026 

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE COMPLETING YOUR ENROLLMENT. AI CoDesign™ is a brand of Strategic Innovation Plus, LLC. By registering for and enrolling in the course offered under the AI CoDesign™ brand (the “Course”), you (“Student” or “you”) agree to be legally bound by these Terms and Conditions (“Agreement”). This Agreement is entered into between you and Strategic Innovation Plus, LLC, a Nevada limited liability company (“Company,” “we,” “us,” or “our”), doing business under the brands AI CoDesign™, Dr. Dawn Gregory, and The AI Synergist™.

If you do not agree to these Terms and Conditions in their entirety, you may not enroll in or access the Course.

  

1. COURSE DESCRIPTION AND ENROLLMENT

1.1 The Course

AI CoDesign™ is a brand of Strategic Innovation Plus, LLC. The Course offered under this brand is a self-paced online educational program designed to develop Human–AI Partnership capabilities in professionals, entrepreneurs, and leaders. The Course is delivered via the Kajabi platform and includes recorded video lessons, guided exercises, downloadable resources, and access to the AI Collaborators™ community.

1.2 Enrollment

Your enrollment is complete upon receipt of full payment and your acceptance of this Agreement. Enrollment is personal and non-transferable. You may not transfer, sell, gift, or share your access credentials or enrollment with any other person or entity.

1.3 Eligibility

You must be at least 18 years of age to enroll. By enrolling, you represent and warrant that you meet this requirement and that all information you provide during the registration process is accurate and complete. 

 

2. PAYMENT AND REFUND POLICY

2.1 Payment

Full payment is required prior to gaining access to Course materials. Accepted payment methods are displayed at the time of purchase. All prices are listed in U.S. dollars.

2.2 All Sales Are Final — No Refunds

ALL SALES ARE FINAL. Due to the immediate and ongoing delivery of digital educational content and intellectual property, Strategic Innovation Plus, LLC does not offer refunds, partial refunds, credits, or chargebacks under any circumstances once access to the Course has been granted. This includes, but is not limited to, situations where:

  • You choose not to complete the Course or any portion thereof;
  • You are dissatisfied with the Course content, delivery, or results;
  • You experience technical difficulties on your end;
  • Your personal or professional circumstances change after enrollment;
  • You fail to access or use the Course materials during any particular period.

 

By completing your enrollment, you expressly acknowledge and accept this no-refund policy.

2.3 Chargebacks

Initiating a chargeback or payment dispute after receiving access to Course materials constitutes a breach of this Agreement. In the event of an unauthorized chargeback, we reserve the right to immediately terminate your access to the Course and pursue all available legal remedies to recover the disputed amount plus costs and fees. 

 

3. ACCESS AND COURSE DELIVERY

3.1 Platform Access

The Course is hosted on the Kajabi platform. Upon successful enrollment and payment, you will receive login credentials granting access to the Course environment. You are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account.

3.2 Lifetime Access

Subject to the terms of this Agreement, you are granted lifetime access to the Course materials as they exist at the time of your enrollment. “Lifetime access” means access for as long as the Company continues to operate and host the Course on its current platform. The Company reserves the right to migrate, update, retire, or discontinue the Course platform with reasonable advance notice to enrolled students.

3.3 Technical Requirements

You are solely responsible for ensuring you have the necessary hardware, software, and internet connection required to access the Course. The Company does not guarantee compatibility with all devices or operating systems.

3.4 Course Updates

The Company reserves the right to update, revise, add to, or remove Course content at any time in its sole discretion. Updates are not guaranteed, and no specific future content is promised as part of this enrollment. 

 

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Ownership

All Course content, materials, frameworks, and resources — including but not limited to AI CoDesign™, the Human–AI Partnership Framework™, The AI Synergist™, recorded video lessons, screen walkthroughs, guided exercises, templates, and proprietary methodologies — are the exclusive intellectual property of Strategic Innovation Plus, LLC and are protected under United States and international copyright, trademark, and trade secret law. All rights are reserved.

4.2 Limited Personal License

Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Course materials solely for your own personal, non-commercial learning and professional development. This license does not grant you any ownership interest in any Course content.

4.3 Prohibited Uses

You expressly agree that you will NOT:

  • Copy, reproduce, distribute, publish, sell, sublicense, or share any portion of the Course materials in any format, whether digitally or in print;
  • Record, screenshot, or capture Course videos, live sessions, or screen walkthroughs by any means;
  • Use AI tools, scrapers, bots, or automated systems to extract, harvest, replicate, or reconstruct Course content, frameworks, or methodologies;
  • Create derivative works based on the Course content or frameworks without prior written consent from the Company;
  • Teach, train, coach, or instruct others using the Company’s proprietary frameworks or methodologies without an express written licensing agreement;
  • Share your login credentials or allow any third party to access the Course using your account.

 

Any unauthorized use of Course materials constitutes a material breach of this Agreement and an infringement of the Company’s intellectual property rights, and may result in immediate termination of your access and legal action.

4.4 Trademark Notice

AI CoDesign™ is a brand name and registered trademark (pending) of Strategic Innovation Plus, LLC. Human–AI Partnership Framework™, The AI Synergist™, and AI Collaborators™ are also trademarks of Strategic Innovation Plus, LLC. These marks identify the source of goods and services offered by the Company and may not be used in any manner without prior written authorization. 

 

5. COMMUNITY STANDARDS AND CONDUCT

5.1 Community Participation

Enrollment may include access to the AI Collaborators™ community. Participation in the community is a privilege, not a right, and is subject to the conduct standards set forth in this Agreement.

5.2 Required Standards of Conduct

You agree to engage with the Course community in a respectful, professional, and constructive manner at all times. The following conduct is strictly prohibited:

  • Harassment, discrimination, bullying, or abusive language directed at the Company, its team members, instructors, or other students;
  • Sharing, posting, or distributing any Course materials, frameworks, videos, or proprietary content within the community or any external platform;
  • Promoting competing courses, programs, services, or businesses without prior written consent;
  • Engaging in spam, solicitation, or unsolicited marketing within the community;
  • Using AI tools or automated systems to scrape, extract, or replicate Course content or community discussions;
  • Any conduct that disrupts the learning environment or violates the rights of other students.

5.3 Enforcement

The Company reserves the right to remove, suspend, or permanently ban any student from the community for violation of these conduct standards, at the Company’s sole discretion, without refund. 

 

6. DISCLAIMERS AND LIMITATION OF LIABILITY

6.1 Educational Purpose Only

The Course is provided for educational and informational purposes only. Nothing in the Course constitutes legal, financial, medical, or professional advice. Results described or implied in any marketing materials are illustrative and not guaranteed. Your individual results will depend on your own efforts, background, and circumstances.

6.2 No Results Guarantee

The Company makes no representation or warranty that you will achieve any specific outcome, financial result, career advancement, or business improvement as a result of completing the Course. Testimonials and case studies represent individual experiences and are not guarantees of similar results.

6.3 Disclaimer of Warranties

THE COURSE AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT OR THE COURSE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR ENROLLMENT. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.  

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Strategic Innovation Plus, LLC, its members, managers, officers, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Course or Course materials; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; or (d) your infringement of any intellectual property or other rights of any third party.  

8. PRIVACY AND DATA

By enrolling, you consent to the collection and use of your personal information in accordance with the Company’s Privacy Policy, which is incorporated herein by reference. Your information will not be sold to third parties. The Company may use aggregated, anonymized data for research, marketing, and program improvement purposes.

You acknowledge that the Course platform (Kajabi) has its own privacy policy and terms of service which govern the collection and use of your data on that platform. The Company is not responsible for Kajabi’s data practices.  

9. TERMINATION

The Company reserves the right to terminate or suspend your access to the Course at any time, without notice and without refund, if you breach any provision of this Agreement, including but not limited to violations of the intellectual property or conduct provisions herein.

You may discontinue your participation in the Course at any time; however, no refund will be issued, and your obligations under this Agreement — including those relating to intellectual property and confidentiality — survive termination. 

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

10.2 Dispute Resolution

In the event of any dispute arising from or related to this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation is unsuccessful within thirty (30) days, disputes shall be resolved through binding arbitration administered in accordance with the American Arbitration Association (AAA) rules, with arbitration to be conducted in Nevada. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration related to this Agreement or the Course. 

11. GENERAL PROVISIONS

11.1 Entire Agreement

This Agreement constitutes the entire agreement between you and the Company with respect to your enrollment in the Course and supersedes all prior agreements, communications, and understandings, whether oral or written.

11.2 Modifications

The Company reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated to enrolled students via email or through the Course platform. Your continued access to the Course following notice of any modification constitutes your acceptance of the revised terms.

11.3 Severability

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

11.4 No Waiver

The Company’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

STUDENT ACKNOWLEDGMENT AND AGREEMENT

By completing the enrollment process and submitting payment, you acknowledge that: 

  • You have read, understood, and agree to be bound by these Terms and Conditions in their entirety;
  • You understand that all sales are final and no refunds will be issued under any circumstances;
  • You understand that all Course content is proprietary intellectual property of Strategic Innovation Plus, LLC and may not be shared, reproduced, or redistributed in any form;
  • You agree not to record, screenshot, or use AI tools to scrape or replicate any Course content;
  • You agree to engage in the Course community with respect and professionalism;
  • You understand that enrollment is personal and non-transferable;
  • You are at least 18 years of age.
